1) Acceptance of Terms
By accessing or using the Site, you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the Site. These Terms do not govern any paid engagement; services are provided only under a signed Mandate/Engagement Letter (“Engagement Agreement”).
2) Changes to Terms
We may update these Terms at any time by posting a revised version with a new Effective Date. Your continued use of the Site after changes are posted constitutes acceptance.
3) Who We Are; Scope of the Site
YJ Advisory is a boutique advisory providing mandate-based, off-market introductions and advisory across:
Private aviation (sales, acquisitions, charter coordination, MRO/FBO partner referrals),
Yachts (acquisition, charter coordination, new build consultation),
Real estate (UHNW residential, commercial, hospitality),
Fine art (private collection access, placement).
The Site provides general information only. It is not a marketplace, offer, solicitation, recommendation, or commitment to transact.
4) No Offer; No Client Relationship via the Site
Content is informational. Your use of the Site does not create a client, agency, broker, or fiduciary relationship. Any relationship arises only under a signed Engagement Agreement.
5) Eligibility and Compliance
You represent that you can form a binding contract and are not subject to sanctions. You will comply with applicable laws, including UAE, U.K., EU, and U.S. sanctions/export controls where relevant.
6) Confidentiality; NDAs; Non-Circumvention
We operate discreetly. Exchanging confidential information may require execution of an NDA/NCNDA. If we introduce a counterparty or opportunity, you agree not to circumvent YJ Advisory or interfere with our fee entitlement, as defined in any executed NDA/NCNDA or Engagement Agreement.
7) KYC/AML; Sanctions; Anti-Bribery
All transactions are subject to KYC/AML, source-of-funds, sanctions, and anti-bribery controls. We may decline or terminate discussions or engagements at our discretion for compliance reasons.
8) Your Use of the Site (Acceptable Use)
You will not:
Copy, scrape, crawl, harvest, mirror, or reverse engineer the Site;
Upload malware or interfere with security or access controls;
Post or transmit unlawful, misleading, or infringing content;
Use automated means to access the Site;
Use the Site to solicit, advertise, or conduct commercial activity unrelated to engaging YJ Advisory.
We may suspend or block access for any breach.
9) Accounts; Submissions; Feedback
If the Site offers forms or accounts, you are responsible for accuracy and security. Do not submit sensitive data via public forms. If you send suggestions or feedback, you grant us a worldwide, royalty-free license to use them to operate and improve the Site and our services.
10) Third-Party Links and Partners
The Site may reference third parties (operators, MROs, FBOs, shipyards, galleries, developers). We do not control or endorse third-party content and are not responsible for their accuracy, conduct, or policies.
11) Intellectual Property
The Site and its content (text, layout, images, video, logos, trademarks, look-and-feel) are owned by YJ Advisory or our licensors. You are granted a limited, revocable, non-transferable license to access the Site for personal, non-commercial use. No other rights are granted. Do not reproduce, distribute, adapt, or create derivative works without our prior written consent.
12) Accuracy; Availability; Security
We aim for accuracy but content may be incomplete or outdated. The Site may be modified, suspended, or discontinued without notice. We employ reasonable security measures but cannot guarantee that the Site is error-free or immune to unauthorized access.
13) Privacy; Cookies
Your use of the Site is also governed by our Privacy Policy and Cookie Notice (linked in the footer). These explain what we collect, how we use it, and your choices.
14) Disclaimers
The Site is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and quiet enjoyment. We do not warrant that the Site is uninterrupted, secure, current, or error-free.
15) Limitation of Liability
To the maximum extent permitted by law, YJ Advisory and its officers, employees, and agents are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, goodwill, data, or business interruption arising out of or related to the Site or these Terms, even if advised of the possibility. Our aggregate liability for any claim relating to the Site is capped at USD 100.
16) Indemnity
You agree to defend, indemnify, and hold harmless YJ Advisory from claims, damages, liabilities, costs, and expenses (including legal fees) arising from: (a) your use of the Site; (b) your breach of these Terms; or (c) your violation of law or third-party rights.
17) Engagement Terms; Fees (Summary)
Any advisory, brokerage, introduction, or placement service is delivered only under a signed Engagement Agreement. Such agreements may include retainers, success fees, disbursements, taxes, escrow instructions, and tail periods protecting our fee entitlement where a party we introduced transacts within a defined period.
18) Export Controls
Content or technology may be subject to export/import/sanctions laws. You agree to comply with all applicable controls.
19) Force Majeure
We are not responsible for delays or failures caused by events beyond our reasonable control, including acts of God, war, terrorism, labor disputes, power/internet failures, or changes in law.
20) Governing Law and Dispute Resolution
20.1 Governing Law
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates.
20.2 Dispute Resolution – DIAC Arbitration (Primary Mechanism)
Any dispute, controversy, or claim arising out of or in connection with these Terms or the Site, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration under the Dubai International Arbitration Centre (DIAC) Rules, which Rules are deemed incorporated by reference into this clause.

Language: English
Tribunal: One arbitrator
The arbitral award shall be final and binding.
20.3 Court Relief (Carve-Out)
Nothing in this clause prevents either party from seeking interim or conservatory measures (including injunctive or protective relief) from the Dubai Courts in support of arbitration.
(If you prefer court litigation only, replace 20.2 with: “The courts of Dubai, UAE shall have exclusive jurisdiction.”)

22) Assignment
You may not assign these Terms without our written consent. We may assign to an affiliate or in connection with a reorganization, merger, or asset transfer.
23) Entire Agreement; Severability; No Waiver
These Terms (plus Privacy Policy and Cookie Notice) are the entire agreement for Site use. If any provision is invalid, the remainder remains enforceable. Our failure to enforce a provision is not a waiver.

These Terms are in English. Translations (if any) are for convenience only.
